This End User License Agreement is between you and DTX Audio, the maker of SessionCodex. It covers the SessionCodex desktop application for macOS, including trial and beta builds and any updates you receive.
To keep payments secure and compliant for our customers, SessionCodex is sold through Lemon Squeezy, our Merchant of Record. Lemon Squeezy handles the payment and sales tax as an authorized reseller; the license itself is granted to you by DTX Audio under this agreement. By installing or using SessionCodex, you accept these terms.
When you buy SessionCodex, DTX Audio grants you a perpetual, non-exclusive license to install and use the software on up to three machines — three activations, to use as you like.
Perpetual means the version you're entitled to keeps working. There is no subscription for the desktop app and no recurring fee to keep using it.
Your purchase includes a perpetual license for your current version and released updates. It also includes free upgrades to future version releases within a year of purchase.
Your license is non-transferable. This may change in a future version of this agreement.
We offer a 14-day free trial so you can evaluate SessionCodex before you buy. When the trial ends, continuing to use SessionCodex requires a license. Your catalog and settings stay on your machine either way — nothing is deleted.
Because of the free trial, all purchases are final and non-refundable.
Pre-release builds are provided for testing. They may contain bugs, may change or drop features between builds, and may expire or stop working when the beta program ends. Don't rely on a beta build as the only gateway to session-critical work — keep your own backups. Beta builds come with no guarantees, and the Warranty and Limitation of Liability sections apply to them with extra force.
The software is licensed, not sold. DTX Audio retains all rights, title, and interest in SessionCodex, its code, and its design.
Your data is yours: your sessions, your files, your tags, your notes, and the catalog SessionCodex builds from them all live on your machines and belong to you. Nothing in this agreement gives DTX Audio any rights to your audio work.
The purchase or use of SessionCodex does not include a warranty of any kind.
SessionCodex is not a backup tool, and DTX Audio is not responsible for lost or corrupted files or any other unintended result of a file operation. You are responsible for keeping your own backups, and should always have a backup of your data to protect against software or hardware failure.
To the maximum extent permitted by law, DTX Audio's total liability under this agreement is capped at the amount you paid for your license. DTX Audio isn't liable for indirect, incidental, special, or consequential damages — including lost profits, lost sessions, or lost data — even if advised of the possibility.
This license ends automatically if you materially breach it — redistribution and key-sharing are the obvious cases. On termination, stop using the software and delete your copies. Sections 6 through 11 survive termination.
This agreement is governed by the laws of the State of California, without regard to its conflict-of-laws rules. Disputes go to the state or federal courts located in California.
Nothing in this agreement waives any rights you have under applicable law that cannot be waived.
The version and date at the top identify this agreement. Material changes will apply to new purchases and will be presented for acceptance before they bind existing users; minor clarifications may be published here with a version bump.
